FIXLY PRO SERVICES AGREEMENT
Version 2026-07-19 — Effective July 19, 2026
This Pro Services Agreement ("Agreement") is entered into between the individual or entity accepting it (the "Pro") and Fixly, operated by Ec Rental Property Management, LLC ("Fixly", "we", "us"). By typing your full legal name and clicking "Sign and accept", you agree to the terms below and acknowledge that your typed signature has the same legal effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §§ 7001 et seq.).
1. INDEPENDENT CONTRACTOR STATUS.
You are an independent contractor. You are not an employee, partner, agent, joint venturer, or franchisee of Fixly. You control the manner and means of performing every job, including which offers you accept, when you work, and how you complete the work. Nothing in this Agreement creates an employer–employee relationship. You are solely responsible for your own federal, state, and local income taxes, self-employment taxes, and any applicable business licenses or permits.
2. YOUR RESPONSIBILITY FOR THE WORK.
You alone are responsible for the quality, safety, timeliness, and legality of every job you claim on Fixly. You will perform every job in a workmanlike manner, follow the service playbook, follow the Fixly Code of Conduct at /pros/playbook, and comply with all applicable laws.
3. LIABILITY FOR DAMAGE — READ CAREFULLY.
YOU ARE FULLY AND SOLELY RESPONSIBLE, AT YOUR OWN COST, FOR ANY LOSS, DAMAGE, THEFT, INJURY, OR HARM YOU CAUSE — WHETHER NEGLIGENTLY OR OTHERWISE — TO ANY CUSTOMER, THIRD PARTY, PROPERTY, PERSON, PET, OR PREMISES WHILE PERFORMING A FIXLY JOB OR TRAVELING TO OR FROM ONE. This includes, without limitation, broken televisions, damaged walls, water damage, lost or stolen items, physical injury, and any consequential damages.
If a customer or third party makes a claim, you agree to:
(a) respond to the customer promptly and in good faith;
(b) repair, replace, or reimburse the affected party at fair market value or actual repair cost, whichever is lower, within thirty (30) days of the incident;
(c) cooperate fully with any Fixly investigation and provide photos, receipts, and documentation on request; and
(d) not represent to any third party that Fixly is liable for your work.
Fixly is a technology platform. Fixly is NOT a party to the service contract between you and the customer, does NOT provide the underlying services, does NOT insure your work, and is NOT liable for damage or loss you cause.
4. RECOVERY, OFFSET, AND CHARGEBACKS.
If you fail to resolve a valid damage claim within thirty (30) days, you authorize Fixly to (i) refund the customer from your pending or future payouts, (ii) offset unpaid claim amounts against any future earnings on the platform, and (iii) charge the payment method on file up to the documented loss amount, in each case only after written notice to you and a reasonable opportunity to respond. Any chargeback initiated by a customer for a job you performed is your financial responsibility.
5. INSURANCE (RECOMMENDED, NOT REQUIRED BY FIXLY).
You are strongly encouraged — but not required by Fixly — to maintain your own general liability and, if applicable, commercial auto insurance covering the services you perform. Carrying insurance does not shift liability to Fixly; it protects YOU from the obligations in Sections 3 and 4.
6. INDEMNIFICATION.
You will defend, indemnify, and hold harmless Fixly, Ec Rental Property Management, LLC, and their officers, members, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your performance or non-performance of any job; (b) any damage, injury, or loss you cause; (c) your breach of this Agreement, the Code of Conduct, or applicable law; and (d) your classification, tax, or wage claims.
7. BACKGROUND CHECK AND VERIFICATION.
You consent to identity verification and, where lawful, background checks. You will keep your identity documents, contact information, and any insurance information current in your Fixly profile.
8. PLATFORM RULES; SUSPENSION AND REMOVAL.
Fixly may suspend, deactivate, or permanently remove your account at any time for violations of this Agreement, the Code of Conduct, applicable law, unresolved damage claims, safety concerns, fraud, chargebacks, or repeated poor performance. Unpaid earnings tied to fraudulent, cancelled, or disputed jobs may be withheld pending investigation.
9. NO GUARANTEE OF WORK.
Fixly does not guarantee any minimum number of jobs, offers, hours, or earnings. Jobs are offered on a first-to-claim basis.
10. PAYMENTS.
Fixly pays you a percentage of the customer-paid service price for each completed job, less refunds, chargebacks, and offsets under Section 4. The current payout percentage is displayed in your pro dashboard and may be changed prospectively with reasonable notice.
11. CONFIDENTIALITY AND CUSTOMER DATA.
You will treat all customer addresses, contact details, notes, photos, and job information as confidential. You will use them only to perform the assigned job, will not contact customers off-platform for the same or similar services, and will delete any local copies within thirty (30) days of job completion.
12. NON-CIRCUMVENTION.
For twelve (12) months after your last job on Fixly, you will not solicit any Fixly customer you were introduced to through the platform for services in the categories offered by Fixly, except through Fixly.
13. DISPUTE RESOLUTION; ARBITRATION; CLASS WAIVER.
Any dispute between you and Fixly arising out of or relating to this Agreement or the platform will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware, with the arbitrator empowered to award any remedy available in court. YOU AND FIXLY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Small-claims court cases and injunctive relief for IP or confidentiality are excluded from arbitration.
14. GOVERNING LAW.
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
15. CHANGES.
Fixly may update this Agreement. Material changes will be posted at /pros/agreement and you will be asked to re-sign the new version before claiming further jobs. Continued use after re-signing constitutes acceptance.
16. ENTIRE AGREEMENT.
This Agreement, together with the Fixly Terms of Service, Privacy Policy, Refund Policy, and Code of Conduct, is the entire agreement between you and Fixly regarding your work on the platform and supersedes any prior understandings.
BY TYPING YOUR FULL LEGAL NAME AND CLICKING "SIGN AND ACCEPT", YOU CONFIRM THAT: (i) YOU ARE AT LEAST 18 YEARS OLD; (ii) YOU HAVE READ, UNDERSTAND, AND AGREE TO THIS ENTIRE AGREEMENT, INCLUDING SECTIONS 3, 4, 6, AND 13; AND (iii) YOUR TYPED SIGNATURE IS YOUR ELECTRONIC SIGNATURE.
